Terms of Service

These Terms of Service ("Terms") govern your access to and use of adverton.net (the "Site") and any related public pages or marketing materials operated by Adverton, a brand of MDS LLC, a Delaware limited liability company. By accessing the Site or submitting any information through it, you agree to these Terms.

If you are a paying client of Adverton's services, your contractual relationship is also governed by the separate Services Agreement you signed at onboarding. In case of conflict between these Terms and the Services Agreement, the Services Agreement controls for matters relating to the paid services.

The Site, including all text, graphics, logos, icons, images, and software, is owned by MDS LLC or our licensors and is protected by U.S. and international copyright, trademark, and other intellectual-property laws. "Adverton," the Adverton logo, and "Tradio" (where used) are trademarks of MDS LLC.

You may view, download, and print pages from the Site for your own personal, non-commercial use, provided you do not modify the materials or remove any copyright or proprietary notices.

3. Submissions

If you submit a contact form, demo request, or other communication via the Site, you grant MDS LLC a non-exclusive, worldwide, royalty-free license to use the information you provided to respond to your inquiry, deliver our services, and improve our products. You represent that you have the right to provide the information and that it is accurate.

4. Marketing claims and case studies

The Site may include sample data, case studies, testimonials, or revenue figures. Sample data is labeled as such and does not constitute a guarantee of results. Real-world performance depends on factors specific to each client's market, services, ad spend, and operational execution. Past performance does not guarantee future results.

5. Pricing

Prices listed on the Site (e.g., $799/month base, optional add-ons) are current at the time of publication. We may change prices for new clients at any time. Prices for existing paying clients are governed by their signed Services Agreement, which controls during the active term of their contract.

6. Third-party services

Adverton's services rely on third-party platforms including Google (Ads, Business Profile, Local Services Ads), Stripe (payments), CallRail (call tracking), and Tradio (CRM). These platforms have their own terms of service. We are not responsible for outages, policy changes, or disputes between you and any third-party platform, though we will work to minimize impact on your business.

7. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MDS LLC disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

8. Limitation of liability

To the fullest extent permitted by law, MDS LLC, its members, officers, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost business opportunities, lost data, or business interruption — arising out of or related to your use of the Site, even if advised of the possibility of such damages.

For paying clients, the limitation of liability provisions of the Services Agreement apply to the paid services.

9. Indemnification

You agree to indemnify, defend, and hold harmless MDS LLC, its members, officers, and employees from any claim, demand, or damage arising from your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

10. Modifications

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Site after changes constitutes acceptance.

11. Termination

We may terminate or restrict your access to the Site at our discretion, without notice, for any reason — including violation of these Terms. Sections that by their nature should survive (e.g., intellectual property, disclaimers, indemnification, governing law) will continue to apply after termination.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

14. Entire agreement

These Terms, together with our Privacy Policy and (for paying clients) the signed Services Agreement, constitute the entire agreement between you and MDS LLC regarding your use of the Site.
